Welcome to Klarify! These Terms and Conditions (“Terms”) govern your use of Klarify, a cloud-based software solution, provided by Klarify (“we,” “us,” “our”). By accessing or using Klarify, you agree to comply with these Terms. Please read them carefully.
1. Definitions
- “Service” refers to the Klarify platform, its features, and functionality.
- “User” refers to any individual or entity using the Service.
- “Subscription” refers to the payment-based access to the Service.
- “Software” means:
- A software program that is delivered or accessed by any means.
- The right (whether exercised or not) to use a software program that is delivered or accessed by any means.
- A contractual right to receive modifications to or new versions of software programs if modifications or new versions become available (whether or not that right is exercised), and to which section 15(2)(h) of the Provincial Sales Tax Act does not apply.
- Coded instructions or a right to use coded instructions (whether exercised or not) designed to cause an electronic device to perform a task.
- Infrastructure as a service.
- Software as a service.
- An application programming interface.
2. User Agreement
2.1 Acceptance
By signing up for Klarify and clicking “I Agree,” you acknowledge that you have read, understood, and agree to these Terms.
2.2 Prohibited Uses
Users must comply with the following restrictions. Violation may result in account suspension or termination:
- Content Restrictions: Users may not share content that promotes hate speech, explicit material, illegal activities, or infringes intellectual property rights.
- Commercial Restrictions: Deceptive marketing, scraping data, and automated content creation are prohibited.
- Technical Restrictions: Users may not bypass security measures, exploit vulnerabilities, or reverse-engineer the platform.
- Behavioral Restrictions: Actions such as harassment, misinformation, or system abuse are forbidden.
3. Subscriptions and Billing
3.1 Subscription Model
Klarify offers monthly or yearly subscription plans.
3.2 Payment Terms
- Payments are processed via credit cards and are auto-renewed.
- Users can manage subscriptions in their account settings.
3.3 Refund Policy
Users are eligible for a refund within 7 days of payment by emailing support@klarify.app. No questions asked.
3.4 Termination
- Users may terminate their subscription at any time.
- Upon account termination, all data is permanently deleted. In exceptional cases, data may be recovered from backups within 7 days.
4. Privacy and Data Protection
4.1 Data Collection
We collect names, email addresses, and usage data to improve services and communicate with users.
4.2 Data Storage and Security
- Data is stored on AWS (US-hosted data centers).
- Authentication data (usernames, passwords) is managed through Auth0, also US-hosted.
- Internal security is managed through AWS IAM with restrictive permissions, and databases are secured within a virtual private cloud (VPC).
4.3 Compliance
We comply with GDPR and respect user rights regarding data access, correction, and deletion. For more information, please see our GDPR Compliance documentation.
4.4 Email Communications and Unsubscribing
By using Klarify, you agree to receive essential service-related communications, such as account notifications, security alerts, and billing updates. These communications are necessary for account functionality and cannot be opted out of.
For marketing and promotional emails, users may withdraw their consent and unsubscribe at any time by:
- Clicking the “Unsubscribe” or “Manage Preferences” link included at the bottom of any marketing email, which will direct you to our Subscription Center to manage your preferences.
- Adjusting your email preferences within Klarify.app, if applicable.
Unsubscribing from marketing emails does not impact your ability to receive critical service-related communications. If you experience any issues unsubscribing, please contact us at support@klarify.app.
5. Service Availability and Disclaimers
5.1 Service Availability
We guarantee 99.9% uptime but disclaim liability for service interruptions beyond our control.
5.2 Warranty Disclaimer
The Service is provided “as is,” without guarantees of accuracy, reliability, or uninterrupted operation.
5.3 Limitation of Liability
Our liability is limited to the subscription fees paid by the user. We are not liable for indirect, incidental, or consequential damages.
6. Dispute Resolution and Governing Law
- These Terms are governed by the laws of Canada.
- Any disputes will be resolved through mediation and arbitration in British Columbia.
7. Updates to Terms
- We reserve the right to update these Terms. Users will be notified of changes via email. Continued use of the Service after updates constitutes acceptance of the revised Terms.
